**General Terms and Conditions**
1. **Scope of Application**
For all orders through our online shop by entrepreneurs, the following terms and conditions apply.
A consumer is any natural person who concludes a legal transaction for purposes that are predominantly neither commercial nor their independent professional activity. Sales to consumers are excluded.
An entrepreneur is a natural or legal person or a legal partnership that, when concluding a legal transaction, acts in the exercise of its commercial or independent professional activity.
Regarding entrepreneurs: If the entrepreneur uses conflicting or supplementary general terms and conditions, their validity is hereby objected to; they only become part of the contract if we have expressly agreed to them.
2. **Contractual Partner, Conclusion of Contract, Correction Options**
The purchase contract is concluded with BSC SOLDER SYSTEMS OHG.
The presentation of products in the online shop is not a legally binding offer, but an non-binding online catalog. You can initially add our products to the shopping cart without obligation and correct your entries at any time before submitting your binding order by using the correction aids provided and explained for this purpose in the ordering process. By clicking the order button, you place a binding order for the goods contained in the shopping cart. The confirmation of the receipt of your order is sent by email immediately after sending the order.
When the contract with us is concluded depends on the payment method you have chosen:
- **PayPal**
In the ordering process, you will be redirected to the website of the online provider PayPal. There, you can provide your payment details and confirm the payment instruction to PayPal. After placing the order in the shop, we ask PayPal to initiate the payment transaction and thus accept your offer.
- **PayPal Services**
In cooperation with the payment service PayPal, we offer various payment methods as PayPal services. Depending on the selected payment method, you may be redirected to the PayPal website and the selected payment service after placing the order. There, you can provide your payment details and confirm the payment instruction, unless this has already happened in our online shop. After placing the order in the shop, we ask PayPal to initiate the payment transaction and thus accept your offer.
3. **Contract Language, Contract Text Storage**
The language available for the conclusion of the contract is German.
We store the contract text and send you the order data and our terms and conditions in text form. For security reasons, the contract text is no longer accessible via the Internet.
4. **Delivery Conditions**
In addition to the stated product prices, shipping costs may apply. You can find more details about any shipping costs that may apply in the offers.
In general, you have the option of picking up the goods during our business hours (Mon-Fri: 8:00 am - 5:00 pm) at our address: BSC SOLDER SYSTEMS OHG, Höfkerstr. 30, 44149 Dortmund.
5. **Payment**
In our online shop, the following payment methods are generally available to you:
- **PayPal**
In the ordering process, you will be redirected to the website of the online provider PayPal. To be able to pay the invoice amount via PayPal, you must be registered there or register first, legitimize yourself with your access data, and confirm the payment instruction to us. After placing the order in the shop, we ask PayPal to initiate the payment transaction, which is automatically carried out by PayPal after the goods have been shipped. You will receive further instructions during the ordering process.
- **Payment processing by PayPal Services**
In cooperation with the payment service PayPal, we offer you various payment methods as PayPal services. You do not need to be registered with PayPal to pay the invoice amount. Depending on the selected payment method, you may be redirected to the PayPal website and the selected payment service after placing the order:
- Credit card: The payment transaction is carried out immediately after confirming the payment instruction and legitimizing yourself as the legitimate cardholder by your credit card company at the request of PayPal.
- Giropay: On the PayPal website, you can enter your payment details and confirm the use of your data by PayPal. Then you will be redirected to the website of Giropay GmbH. To be able to pay the invoice amount via Giropay, you must have an online banking-enabled bank account, legitimize yourself accordingly, and confirm the payment instruction. The payment transaction is carried out immediately afterwards, and your account is debited.
- Direct debit: On the PayPal website, you can enter your payment details, confirm the use of your data by PayPal, and confirm the payment instruction to PayPal. By confirming the payment instruction, you grant PayPal a direct debit mandate. You will be informed by PayPal about the date of the account debit (so-called prenotification). Immediately after confirming the payment instruction, PayPal requests its bank to initiate the payment transaction. The payment transaction is carried out, and your account is debited.
- Sofort by Klarna: On the PayPal website, you can enter your payment details and confirm the use of your data by PayPal. Then you will be redirected to the website of the online provider Sofort GmbH. To be able to pay the invoice amount via Sofort, you must have an online banking-enabled bank account, legitimize yourself accordingly, and confirm the payment instruction. The payment transaction is carried out immediately afterwards by Sofort, and your account is debited. Further instructions will be provided during the ordering process.
6. **Right of Withdrawal**
Entrepreneurs are not granted a voluntary right of withdrawal.
7. **Retention of Title**
The goods remain our property until full payment is made. We reserve ownership of the goods until full settlement of all claims arising from an ongoing business relationship. You are allowed to resell the reserved goods in the ordinary course of business; all claims arising from this resale are assigned to us in advance, regardless of any connection or mixing of the reserved goods with a new item, in the amount of the invoice total, and we accept this assignment. You remain authorized to collect the claims; however, we may also collect the claims ourselves if you fail to meet your payment obligations.
8. **Transport Damages**
The risk of accidental loss and deterioration passes to you as soon as we have delivered the goods to the carrier, freight forwarder, or any other person or institution designated to carry out the shipment. For merchants, the obligation to inspect and give notice of defects as per § 377 of the German Commercial Code (HGB) applies. If you fail to comply with the specified notification, the goods shall be deemed approved, unless it concerns a defect that was not recognizable during the inspection. This does not apply if we have fraudulently concealed a defect.
9. **Warranty and Guarantees**
Information on any existing warranties and their exact conditions can be found with each product and on special information pages in the online shop.
10. **Liability**
For claims arising from damages caused by us, our legal representatives, or agents, we are liable without limitation:
- for injury to life, body, or health,
- in case of intentional or grossly negligent breach of duty,
- for promised guarantees, if agreed, or
- to the extent the scope of the Product Liability Act is applicable.
In case of a breach of essential contractual obligations, the fulfillment of which enables the proper execution of the contract and on which the contractual partner can regularly rely (cardinal obligations), through slight negligence on our part, our legal representatives, or agents, liability is limited to the amount of damage typically foreseeable at the time of contract conclusion. In all other respects, claims for damages are excluded.
11. **Dispute Resolution**
The European Commission provides a platform for online dispute resolution (OS), which you can find [here](https://ec.europa.eu/consumers/odr/). We are neither obligated nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
12. **Final Provisions**
If you are an entrepreneur, German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
If you are a merchant within the meaning of the German Commercial Code, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from contractual relationships between us and you is our place of business.
